1. Acceptance of Terms

By accessing or using the BASEKYC platform, website, APIs, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

BASEKYC provides a Video KYC (Know Your Customer) platform that enables financial institutions to conduct identity verification through live video sessions. Our Services include:

• Video-based Customer Identification Process (V-CIP) compliant with RBI regulations
• AI-powered identity verification, liveness detection, and fraud analysis
• Document verification and OCR capabilities
• Dashboard, reporting, and compliance management tools
• APIs and SDKs for platform integration
• Co-browsing and agent-assisted verification workflows

3. Account Registration

To use our Services, you must register for an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access or security breach
• Ensuring that all users within your organization comply with these Terms

4. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable regulations. You must not:

• Use the Services for any purpose other than legitimate KYC/identity verification
• Attempt to bypass, disable, or interfere with security features
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the Services to collect data for purposes not authorized by end customers
• Transmit malware, viruses, or any harmful code through the platform
• Resell, sublicense, or redistribute the Services without written authorization

5. Regulatory Compliance

Our Services are designed to help you comply with regulatory requirements. However, ultimate compliance responsibility lies with you. You are responsible for:

• Ensuring your use of the platform complies with RBI, SEBI, IRDAI, and other applicable regulations
• Obtaining necessary consents from end customers before initiating video KYC sessions
• Maintaining audit trails and records as required by your regulator
• Implementing appropriate internal controls and policies for KYC operations

6. Data Processing

When you use our Services for KYC verification, we act as a data processor on your behalf. You remain the data controller. We process personal data strictly in accordance with your instructions and our Privacy Policy.

For enterprise clients, a separate Data Processing Agreement (DPA) may be executed to define specific data handling obligations.

7. Service Level Agreement

We strive to maintain 99.9% platform uptime. Our standard SLA includes:

• 99.9% uptime guarantee for production environments
• Scheduled maintenance windows communicated at least 48 hours in advance
• Priority support response times based on your subscription tier
• Service credits for downtime exceeding SLA thresholds

Enterprise clients may negotiate custom SLA terms as part of their agreement.

8. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, designs, trademarks, and documentation, are owned by BASEKYC. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during the subscription period.

You retain ownership of your data. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services.

9. Limitation of Liability

To the maximum extent permitted by law, BASEKYC's total liability for any claims arising from the use of the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

Our AI-powered verification tools are designed to assist human decision-making. We do not guarantee 100% accuracy in fraud detection or identity verification, and final verification decisions remain the responsibility of your authorized agents.

10. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend or terminate your access immediately if:

• You breach these Terms or any applicable laws
• Your account is used for fraudulent or illegal activities
• You fail to pay outstanding fees within the grace period

Upon termination, we will provide a data export facility for 30 days. After this period, your data will be securely deleted unless retention is required by regulation.

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
